Terms and Conditions

Welcome to the OPRA START web application (the "Service") operated by OPRA FLOW Ltd ("we," "our," "us"). By using the Service, you agree to these Terms and Conditions ("Terms"). Please read them carefully.

1. Eligibility

You must be at least 18 years old to use the Service. By signing up, you confirm that you meet this requirement.

2. Accounts

  • To access the Service, you must create an account using our authentication provider.
  • You are responsible for keeping your login credentials secure.
  • You must not share your account or allow unauthorised use.
  • Subscription features (product workspaces, user need capture, URS, PRS, Intended Use drafting, and team collaboration) require an active paid subscription.
  • Access to subscription features ends when your subscription expires or is cancelled.

3. Your Data

  • You retain full ownership of all product definitions, user groups, user needs, user requirement specifications, product requirement specifications, intended use statements, and all other documents and content you create inside OPRA START.
  • We store your data for 7 days after the expiry of your access. If you do not extend your account, we will delete your account and all associated data within 7 days of the expiry of your access.
  • You are solely responsible for ensuring that any third-party information you enter into the Service — including information about users, stakeholders, or clinical populations — is entered with the appropriate permissions and does not violate any applicable law or obligation of confidentiality.
  • When you invite team members or collaborators to access your workspace, you are responsible for ensuring you have the right to share their contact details with us. You should inform collaborators about what data they can view or edit before inviting them.

4. Collaboration

If you have an active subscription, you may invite team members and collaborators to access your product workspaces:

  • You can grant and revoke access to collaborators at any time.
  • Some elements of the workspace may be set to read-only by you as the workspace owner.
  • We are not responsible for verifying the identity of invitees. You are solely responsible for inviting the correct individuals.
  • Collaboration access stops working when your subscription expires.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful or harmful purposes.
  • Upload offensive, discriminatory, or infringing content.
  • Attempt to access, copy, or interfere with systems other than through normal use of the Service.

We may suspend or terminate accounts that violate these rules.

6. Cookies and Analytics

  • The Service uses essential cookies that are required for authentication and core functionality.
  • With your consent, we use analytics cookies to understand how the Service is used and to improve it.
  • With your consent, we may record anonymised session replays to diagnose user experience issues. All text and personal data visible on screen is masked in these recordings.
  • You can accept or decline analytics cookies via the cookie banner shown on your first visit.

7. Service Availability

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may suspend or modify the Service for maintenance, updates, or other reasons without liability.

Features that depend on third-party services — including AI-assisted drafting, email delivery, and authentication — may be affected by outages or delays caused by those providers. We are not responsible for such interruptions.

8. Payments and Subscriptions

  • Some features require payment. Payment terms will be displayed at checkout via our payment provider.
  • By subscribing, you agree to the applicable fees and renewal conditions.
  • Failure to pay may result in suspension or deletion of your account.
  • When your subscription expires, your product workspaces become read-only.
  • Collaboration access stops working when your subscription expires.
  • Your data is deleted 7 days after subscription expiry if you do not renew.

9. Intellectual Property

  • The Service, including its design, software, and branding, is owned by OPRA FLOW Ltd and ZNZ Ltd.
  • You retain full ownership of all product data, documents, and content you create using the Service. We claim no ownership, licence, or rights over your product definitions, user needs, requirements, or intended use statements.
  • You grant us a limited licence to store and process your content solely to provide the Service to you.
  • We will never use the contents of your product workspace to train AI models, develop competing products, or for any commercial purpose other than delivering the Service.

10. Limitation of Liability

  • The Service is provided "as is" without warranties of any kind.
  • OPRA START is a product definition and compliance structuring tool. It does not constitute regulatory advice, legal advice, or a guarantee of regulatory approval. You are solely responsible for seeking qualified professional advice in connection with your regulatory submissions.
  • To the maximum extent permitted by law, OPRA FLOW Ltd shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service.
  • Our total liability for any claim shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

11. Data Protection

We process personal data in accordance with our Privacy Policy. By using the Service, you acknowledge and agree to this processing. All personal data is stored on GDPR-compliant servers within the European Union.

12. Termination

You may delete your account at any time. We may suspend or terminate your account if you breach these Terms. Upon termination, your access will cease and your data will be deleted in accordance with our Privacy Policy.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
